PLEASE READ THESE TERMS OF SERVICE CAREFULLY AND ENTIRELY BEFORE USING THIS WEBSITE.

Vanguard Performance Labs ("Vanguard," "we," "our," or "us") operates a direct-to-patient bloodwork and laboratory testing service available at www.vanguardperform.com (the "Site"). By accessing or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use this Site.

Vanguard reserves the right to revise these Terms at any time, effective immediately upon posting. We will notify you of material changes via our regular email newsletter. Your continued use of the Site after any revision constitutes your acceptance of the updated Terms. You should periodically review this page because these Terms are binding on you.

Permission to use this Site is at the discretion of Vanguard Performance Labs and may be terminated at any time for any reason.

This Site may contain general information relating to various medical conditions and their treatment. Such information is provided for informational purposes and for your general interest only. It is not intended to be a substitute for medical advice, diagnosis, or treatment provided by a doctor or other qualified healthcare professional. You should not use the information contained herein for diagnosing or treating a health condition, problem, or disease.

You agree that a lab test purchased through Vanguard Performance Labs does not constitute medical advice and will not diagnose, treat, or cure any disease or condition. You also agree that lab test results may be inaccurate through no fault of Vanguard. You understand the services provided by Vanguard are provided at your request and are not suggested by our staff physician.

As an online service, we do not have a traditional doctor-patient relationship and do not provide CPT codes, diagnosis codes, or provider information for the purpose of filing insurance claims. Please consult with your doctor or healthcare professional before acting on any information discussed on this Site.

Individuals of any age may use Vanguard Performance Labs services. If the individual being tested is under 18 years old, a parent or legal guardian must complete a release form during checkout. By completing the release form, the parent or guardian confirms they have authority to authorize testing on behalf of the minor and accepts these Terms on the minor's behalf.

You agree that all information you submit during the course of purchasing a lab test from Vanguard Performance Labs is truthful and accurate. Providing false or misleading information may result in cancellation of your order without refund and may prevent you from using our services in the future.

If, and only if, you agree to and are in full compliance with these Terms, Vanguard Performance Labs authorizes you to view and access a single copy of the publicly available pages on the Site solely for your personal use. The Site and its Content (as defined in Section 18 below) are made available for the limited purpose of allowing you and/or your medical provider to use Vanguard's online lab test ordering and related services. Any other use, duplication, distribution, or exploitation of the Site or its Content is strictly prohibited.

Without limiting the foregoing, you agree not to, directly or indirectly:

• (a) Republish, post, upload, frame, retransmit, redistribute, modify, remove any intellectual property or similar notices, or otherwise reproduce the Site or any Content in any format or to any person in any way (other than the incidental download inherent in viewing a web page);
• (b) Access, attempt to access, or obtain any information regarding other users, including without limitation any other user's tests ordered, test results, or any other personally identifiable information related to another user;
• (c) Allow anyone else to use or access your name, account, or password;
• (d) Use any robot, spider, or other data mining or automated device, program, or process to access, acquire, copy, or monitor the Site, another user, the Content, or any portion thereof, or in any way circumvent the navigational structure or presentation of the Site or its Content;
• (e) Breach or attempt to breach the security or authentication measures on the Site or any network or database connected to the Site;
• (f) Collect any information related to any Site users or other Content from the Site for the benefit of any other entity or person, or share this information with any other person or entity;
• (g) Decompile, reverse engineer, disassemble, or otherwise reduce any software code for the Site to a human-readable form;
• (h) Make any automated high-volume or other use of the Site for re-mailing, spamming, or other purposes;
• (i) Use the Site or the Content in violation of any applicable law, rule, or regulation;
• (j) Use the Site for any purpose other than to utilize the intended lab test ordering services offered through the Site;
• (k) Submit any data, content, or other material that contains a virus or other harmful component, or otherwise tampers with, impairs, or damages the Site, the Content, or any connected network or database, or otherwise interferes with any person's or entity's use or enjoyment of the Site;
• (l) Submit any data (including without limitation credit card and other payment data), content, or other material in violation of any applicable law or regulation, or that violates or infringes upon the patent, trademark, copyright, trade secret, privacy, publicity, or other rights of any third party;
• (m) Submit any data, content, or other material that is false, misleading, deceptive, defamatory, obscene, indecent, threatening, abusive, offensive, harassing, or hateful; or
• (n) Pretend to be another person or entity or misrepresent your identity, sponsorship, or affiliation with any such third party, including using a third party's username, password, personally identifiable information, or other account information.

You must maintain the confidentiality of your account and other information and promptly notify us if you become aware of any third-party use of your account or information relating to the Site. You are responsible for all acts, omissions, statements, and other uses of your account and information on the Site.

You also agree to use the Site according to the instructions and its intended use, and not to disclose your password to any other user.

Vanguard cannot and does not assure that other users are complying, or will continue to comply, with these Terms and, as between you and Vanguard, you assume all risk of harm or injury resulting from any such lack of compliance.

You agree to abide by the purchase and refund policies of Vanguard Performance Labs as set out in this section.

5.1 Standard Refunds

Refunds are only permitted prior to submission of urine or blood specimens to a Patient Service Center for testing. Approved refunds will be issued at 75% of the original purchase price. No refund will be issued more than 21 days after receipt of payment.

5.2 Promotional Refunds — "Free if We Don't Find Anything" and 90-Day Money-Back Guarantee

These promotions may end at any time. A refund under these promotions may be claimed only if all of the following conditions are met:

• The patient is a first-time customer (determined by personal details, not solely by email address)
• The order does not contain STD tests or Sickle Cell tests
• There are no "high," "low," "abnormal," "alert," or "critical" flags in your test results (flags are determined by comparing result levels to normal ranges for your gender and age)
• The order date is on or after April 28, 2022
• Specimens were collected within 90 days of the order date

Refunds under these promotions are limited to the actual amount paid after any discounts, credits, loyalty points, or other promotions have been applied, and do not include the value of such discounts or credits. To file a claim, within 15 days of your results being posted, contact us at info@vanguardperform.com with the subject line "Money Back Guarantee" and provide your order number.

5.3 Gift Orders

Gift orders are non-refundable under all circumstances. Once a gift order is placed and payment is processed, no refund will be issued, regardless of whether specimens have been submitted to a Patient Service Center. By purchasing a gift order, you acknowledge and agree that the purchase is final and not eligible for any refund, including under the promotional offers in Section 5.2.

5.4 Site-Wide Promotional Events

For any site-wide promotional events — meaning any promotional discount that applies to all or substantially all products on our Site, including but not limited to Black Friday, Cyber Monday, Cyber Week, New Year's promotions, or other seasonal or major discount periods — all sales are final. Orders placed during these periods are not eligible for refunds under any circumstances, regardless of test type or discount amount.

You agree to a $15 administration fee to be charged (or deducted from any unused credit balances) for each request to change your order once your order has been processed.

Your lab order with Vanguard Performance Labs never expires. However, the requisition (the prescription document used by the lab provider, such as Quest Diagnostics or LabCorp) is valid for 12 months from the date of purchase per lab regulations. If your requisition expires before you visit a lab, we will reissue a new one when you are ready. In most cases, there is no additional cost.

If the price of any test on your order has increased since your original purchase, you may be required to pay the difference before a new requisition can be issued. We will always notify you of any additional balance before charging. With your approval, the difference will be charged to the payment method on file. If no payment method is available, we will provide a secure link to complete payment. Requisitions will not be issued until the full balance is settled.

Reissued requisitions may not be transferred to another name. We reserve the right to charge an administrative fee of up to $15 or to decline a reissue request at our sole discretion, including but not limited to cases of abuse, excessive requests, or other unforeseen circumstances.

Discount coupon codes are issued as a courtesy to our customers. Coupons are not redeemable for cash and cannot be applied when using Gift Certificates or multi-pack credits purchased at a discount. Gift Certificates, House Credit Certificates, and multi-pack credits are not refundable and not redeemable for cash, in whole or in part.

Adjustments, credits, and/or refunds for discount codes not entered at the time of ordering will not be issued. Credits of any kind cannot be combined. You may not use more than one credit per order. Certain products may not be eligible for marketing promotions or discounts. These exclusions may change at any time at our discretion without prior notice.

Turnaround times for test results are provided as estimates only, based on information provided by Quest Diagnostics and/or LabCorp as applicable. Vanguard Performance Labs does not control turnaround times and cannot guarantee that estimated timeframes will be met in all cases.

We reserve the right to change the terms and discount or credit amounts (including loyalty points earned) of the referral program at any time. If you have already referred a friend and we update the referral amounts, you and your friend will keep the original discount for that referral, but future referrals will be subject to the updated amounts. Referral discounts apply only to first-time customers and may be removed during checkout if we determine the patient has previously used our services. Orders placed using a referral discount are not eligible for refunds.

At-home blood collection appointments (where a certified phlebotomist travels to your home or specified location to perform the blood draw) are subject to the following policy. Services may be performed by Vanguard Performance Labs or by third-party providers.

• At-home blood collection appointments can be canceled or rescheduled by contacting us at info@vanguardperform.com.
• Appointments can be canceled for a full refund if canceled at least 24 hours before the scheduled appointment time. Cancellations made within 24 hours of the scheduled appointment time are non-refundable and the purchase is final.
• Appointments can be rescheduled up to 2 hours before the scheduled appointment time.
• We recommend rescheduling rather than canceling within the 24-hour window to preserve your order value and avoid cancellation fees.

If unforeseen circumstances prevent our phlebotomist from completing your scheduled appointment, Vanguard Performance Labs reserves the right to cancel and will reschedule the appointment or refund any payment made for the affected service.

By using this Site, you agree not to rely on any of the information contained herein. Vanguard Performance Labs will use reasonable efforts to include accurate and up-to-date information on this Site, but makes no warranties or representations of any kind regarding the use of this Site or as to its accuracy, currency, reliability, or completeness. Vanguard reserves the right to make changes or improvements to this Site at any time.

YOUR ACCESS TO AND USE OF THIS SITE AND ITS CONTENT IS AT YOUR OWN RISK. Vanguard reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Vanguard in asserting any available defenses.

Vanguard Performance Labs respects your privacy. Please review our Privacy Policy, which explains your rights and responsibilities with respect to information disclosed on or to this Site. To the extent there is any inconsistency between these Terms and the Vanguard Privacy Policy, these Terms shall govern.

Vanguard appreciates hearing from its customers and welcomes your comments regarding this Site and/or our products or services. However, it is our policy not to accept unsolicited ideas about new products, advertising or marketing concepts, or improvements. If you send us a message about a proposed idea, your message will be treated as non-proprietary and non-confidential and becomes the property of Vanguard Performance Labs. Vanguard shall be free to use the content of any such communication, including any ideas, inventions, concepts, techniques, or know-how disclosed therein, for any purpose whatsoever, including developing, manufacturing, and/or marketing goods or services, at our sole discretion and without compensation to you.

You agree that you will not upload or transmit to this Site, or send to Vanguard by email, any communication or content that infringes or violates any rights of any party.

This Site may provide links or references to websites maintained by third parties over whom Vanguard Performance Labs has no control. Such links are provided as a convenience and do not constitute an endorsement or recommendation by Vanguard. Vanguard has no responsibility for and makes no representations or warranties of any kind for the content of other websites linked to this Site, or for any products or services mentioned or offered on such websites. Vanguard shall not be liable for any damages or injury arising from such content. You access such other websites solely at your own risk.

This Site and its Content are intended to comply with the laws and regulations of the United States of America, and the information pertaining to Vanguard's products and services is intended for use only by residents of the United States. Vanguard makes no representation or warranty that the Content is appropriate or available for use in other countries, and access from countries where its content is illegal is prohibited. These Terms and your use of the Site shall be governed by the laws of the state in which Vanguard Performance Labs is incorporated, without regard to its conflict-of-laws provisions. Vanguard does not waive any of its proprietary rights to such Content.

Vanguard authorizes you to display and electronically copy, download, and print hard copies of documents or pages on this Site for non-commercial use only, provided that any copy retains all copyright or proprietary notices and any disclaimers contained herein.
